Terms of Service

1. About these terms

These terms govern your use of growthninjagroup.com (the "Site") and the services offered by Growth Ninja Group LLC ("we", "us"), a Delaware-registered limited liability company. By using the Site or engaging our services, you agree to these terms.

2. Services

We design, build, and hand over AI-powered growth systems on a fixed-scope, fixed-price basis. Each engagement is governed by a separate written Statement of Work signed by both parties, which controls the specific deliverable, timeline, and price. These terms set the general framework.

3. Payment

Build engagements are invoiced 50% on kickoff and 50% on handover unless otherwise agreed in the Statement of Work. Optional retainers are billed monthly in advance and may be cancelled with 30 days written notice. All fees are in USD and exclude taxes.

4. Result guarantee

If we miss the agreed timeline on a build engagement, we continue to work at no additional cost until the deliverable is shipped. The guarantee applies to the scope written in the Statement of Work and assumes timely access to your stack, data, and decision-makers.

5. Ownership

On payment in full, you own the systems we build for you, including source code, configurations, prompts, and documentation. We retain the right to use general knowledge, methods, and non-proprietary code patterns in future engagements.

6. Confidentiality

Each party will treat the other's non-public business information as confidential and use it only for the purpose of the engagement. Confidentiality survives termination.

7. Liability

Our total liability for any claim arising out of an engagement is capped at the fees paid by the client to us in the preceding 12 months. We are not liable for indirect, consequential, or lost-profit damages. Nothing in these terms limits liability that cannot be limited by law.

8. Termination

Either party may terminate an engagement with 30 days written notice. On termination, you pay for work completed to date, and we hand over what has been built.

9. Governing law

These terms are governed by the laws of the State of Delaware, USA. Disputes are subject to the exclusive jurisdiction of Delaware courts unless the parties agree to alternative resolution in writing.
